<h2 class="wp-block-heading">The Federal Court of Australia has handed down its decision in <a href="https://www.judgments.fedcourt.gov.au/judgments/Judgments/fca/single/2025/2025fca1317" target="_blank" rel="noreferrer noopener">YTL Power Investments Limited v Commissioner of Taxation [2025] FCA 1317</a>, ruling in favour of YTL Power (the Taxpayer) and holding that the infrastructure assets did not constitute real property. </h2>



<p>The&nbsp;Taxpayer&nbsp;was successful in arguing&nbsp;that the&nbsp;leased&nbsp;electricity infrastructure&nbsp;situated on&nbsp;owned and leased&nbsp;land did not constitute “real property situated in Australia (including a lease of land)” and&nbsp;accordingly&nbsp;the&nbsp;shares&nbsp;disposed were&nbsp;not&nbsp;“taxable Australian property”&nbsp;(TAP).&nbsp;However, the Commissioner has already lodged&nbsp;an appeal of this decision.&nbsp;&nbsp;</p>



<h3 class="wp-block-heading">Case background </h3>



<p>YTL Power,&nbsp;a&nbsp;Malaysian&nbsp;based company,&nbsp;and a foreign resident,&nbsp;sold their shares in&nbsp;ElectraNet&nbsp;in February 2022. ElectraNet&nbsp;an Australian resident company,&nbsp;operated&nbsp;South Australia’s electricity transmission network&nbsp;on land that is leased and land that&nbsp;it&nbsp;owned.&nbsp;&nbsp;</p>



<p>The disposal of shares&nbsp;in&nbsp;ElectraNet&nbsp;triggered&nbsp;a&nbsp;$948 million&nbsp;capital gain&nbsp;which&nbsp;the&nbsp;ATO&nbsp;sought to tax. Under Australian law,&nbsp;foreign residents are only subject to&nbsp;CGT&nbsp;on gains from&nbsp;TAP.&nbsp;In YTL&nbsp;Power’s&nbsp;case, it was agreed that the gain would be taxable only if&nbsp;YTL&nbsp;Power’s&nbsp;ElectraNet&nbsp;shares&nbsp;was an “indirect Australian real property interest” under Item 2 of section&nbsp;855-15. This&nbsp;essentially required&nbsp;ElectraNet’s&nbsp;underlying assets to be&nbsp;mainly&nbsp;Australian real property under the principal asset test in&nbsp;section&nbsp;855-30.&nbsp;</p>



<p>In raising the income tax assessments,&nbsp;the&nbsp;Commissioner&nbsp;considered&nbsp;the&nbsp;leased&nbsp;assets&nbsp;to be&nbsp;“indirect Australian real property interest”&nbsp;and therefore&nbsp;Taxable Australian Real Property (TARP).&nbsp;The Commissioner’s arguments centred on the&nbsp;proposition&nbsp;for&nbsp;Division 855&nbsp;to be interpreted in the broader context of&nbsp;its predecessor&nbsp;provisions&nbsp;Division 136,&nbsp;to&nbsp;determine&nbsp;what is&nbsp;real property.&nbsp;Further, the Commissioner argued that ‘real property’ in Division 855 takes on its ordinary meaning.&nbsp;</p>



<p>The Taxpayer argued&nbsp;that the network assets were&nbsp;legally&nbsp;severed from the&nbsp;land&nbsp;and&nbsp;should be&nbsp;classified as&nbsp;personal property, not real property.&nbsp;On&nbsp;this basis, the share&nbsp;should be&nbsp;non-TAP&nbsp;(NTAP) and not subject to income tax in Australia.&nbsp;</p>



<h3 class="wp-block-heading">Federal Court decision </h3>



<p>Hespe J&nbsp;agreed with the Taxpayer&nbsp;that&nbsp;the term ‘real property’ in Division 855 aligns with common law. This&nbsp;makes&nbsp;the&nbsp;state&nbsp;legislative&nbsp;severance rules critical in classifying the asset as real property or&nbsp;personal property.&nbsp;Importantly, this case was decided based solely on South Australian legislation.&nbsp;This&nbsp;could&nbsp;mean&nbsp;the same types of assets situated in another state may be real property depending on the&nbsp;state specific legislation.&nbsp;</p>



<p>In reaching this conclusion, Hespe&nbsp;J&nbsp;noted that the inclusion of&nbsp;‘a lease of&nbsp;land’&nbsp;in the definition of TARP&nbsp;indicates&nbsp;that&nbsp;‘real&nbsp;property’&nbsp;in this context has its technical legal meaning, which by itself would not cover leasehold interests. It followed&nbsp;that if a right or asset&nbsp;isn’t&nbsp;literally an&nbsp;interest in land (under property law), it&nbsp;shouldn’t&nbsp;be swept in by a broad&nbsp;‘ordinary’&nbsp;meaning.&nbsp;</p>



<p>We&nbsp;expect the&nbsp;Commissioner will appeal the decision&nbsp;given the&nbsp;amount&nbsp;of&nbsp;revenue at stake.&nbsp;</p>



<h3 class="wp-block-heading">The broader ATO position on Division 855 </h3>



<p>Based on anecdotal evidence, the Australian Taxation Office (ATO) appears to have changed its&nbsp;view&nbsp;on whether&nbsp;infrastructure assets such as solar and wind infrastructure are considered to be real&nbsp;property, having previously regarded such assets as non-TAP.&nbsp;The&nbsp;ATO is also in a dispute with Newmont Canaca FN Holdings ULC regarding whether mining assets are real property. In Newmont, the Court rejected the Commissioner’s broad approach to the meaning of real property in another win for foreign resident taxpayers.&nbsp;</p>



<p>Changes to Division 855 announced in the&nbsp;<a href="https://archive.budget.gov.au/2024-25/" target="_blank" rel="noreferrer noopener">2024-25 Federal&nbsp;Budget</a>&nbsp;were expected to broaden the scope of the provisions. However, in the Commissioner’s view, the proposed amendments to Division 855 merely clarified the scope of assets within the&nbsp;capital gains tax (CGT)&nbsp;net rather than broadened the type of assets that are caught by Division 855. Whilst the decision in YTL&nbsp;Power was&nbsp;influenced by&nbsp;specific&nbsp;South Australian legislation, the case supports the position that non-resident entities disposing of shares in companies&nbsp;owning&nbsp;infrastructure assets&nbsp;might&nbsp;<strong>not</strong>&nbsp;be subject to capital gains in Australia.&nbsp;&nbsp;</p>



<p>Importantly, comments made by Hespe J raise serious questions whether&nbsp;even&nbsp;the proposed amendments to Division 855 from the 2024-25 Federal Budget will be effective given the majority of Double Tax Agreements use the term immovable property rather than the extended meaning of real property in Division 855. Whilst the start date for the proposed amendments have already been pushed out,&nbsp;we would expect there to be further delays.&nbsp;</p>



<h3 class="wp-block-heading">Practical considerations for taxpayers </h3>



<p>In light of&nbsp;this decision, taxpayers should consider the&nbsp;below&nbsp;practical steps.&nbsp;</p>



<h5 class="wp-block-heading">Review asset classifications </h5>

<ul class="wp-block-list">
<li>If you are a foreign investor with Australian assets, identify how those assets are held and defined. Are they direct land interests, mining/lease rights, or something else?  </li>
</ul>



<ul class="wp-block-list">
<li>If your investment involves infrastructure, long-term leases, or statutory licences, investigate whether any law deems those assets personal property (as in SA) or if they are ordinary fixtures. This legal detail can be the difference between a taxable or non-taxable outcome on exit. </li>
</ul>
</div>



<h5 class="wp-block-heading">Documentation and valuation </h5>



<div class="wp-block-group is-vertical is-layout-flex wp-container-core-group-is-layout-8cf370e7 wp-block-group-is-layout-flex">
<ul class="wp-block-list">
<li>Ensure you have documentation that clearly shows the nature of your assets. In YTL Power’s case, the contractual agreements and the SA legislation were critical evidence.  </li>
</ul>



<ul class="wp-block-list">
<li>Maintain records such as leases, titles, regulatory provisions, and valuations of asset classes.  </li>
</ul>



<ul class="wp-block-list">
<li>If you plan to argue a CGT exemption based on the principal asset test, you’ll need robust valuations to show that less than 50% of the entity’s assets are taxable property. Contemporaneous valuations, e.g. of land vs equipment, at the time of a transaction can support your position if reviewed. </li>
</ul>
</div>



<h5 class="wp-block-heading">Be prepared for ATO’s approach </h5>



<div class="wp-block-group is-vertical is-layout-flex wp-container-core-group-is-layout-8cf370e7 wp-block-group-is-layout-flex">
<ul class="wp-block-list">
<li>While the Federal Court has set a clear precedent, the ATO may potentially appeal significant decisions or issue its own view in a decision impact statement. Without speculating on future litigation, taxpayers who benefit from this ruling should still present their position carefully to the ATO.  </li>
</ul>



<ul class="wp-block-list">
<li>If you rely on YTL Power for example in excluding a gain from your taxable income, consider disclosing your position or rationale to the ATO to mitigate penalties. Being proactive can show you are taking a transparent approach, which may help if the ATO decides to review the transaction. </li>
</ul>
</div>



<h5 class="wp-block-heading">Stay within anti-avoidance boundaries </h5>



<div class="wp-block-group is-vertical is-layout-flex wp-container-core-group-is-layout-8cf370e7 wp-block-group-is-layout-flex">
<ul class="wp-block-list">
<li>It’s worth noting that while structuring investments to fall outside the CGT net is legally acceptable, general anti-avoidance rules (Part IVA) still lurk in extreme cases. The SA law in YTL Power had commercial and historical justifications (it wasn’t created for tax avoidance).  </li>
</ul>



<ul class="wp-block-list">
<li>Ensure that any structuring of holdings has solid commercial rationale and isn’t purely contrived for tax purposes.  </li>
</ul>



<ul class="wp-block-list">
<li>If you have flexibility in how to structure an infrastructure investment, you might favour jurisdictions or methods that yield non-taxable outcomes – just ensure the structure aligns with genuine business operations and you’ve considered all tax angles.  </li>
</ul>



<ul class="wp-block-list">
<li>Don’t forget duties or GST, which can also be impacted by whether something is treated as land or not. </li>
</ul>
</div>



<p>In summary,&nbsp;YTL Power&nbsp;clarifies the boundaries of what is taxable for foreign investors and should prompt a careful look at how your Australian investments are structured and defined in law. The case reinforces that clear, proactive planning,&nbsp;and understanding of legal definitions can prevent unintended tax exposure.&nbsp;</p>

<h2 class="wp-block-heading">On 14 October 2025, the Victorian Government introduced the&nbsp;<a href="https://content.legislation.vic.gov.au/sites/default/files/bills/601257bi1.pdf" target="_blank" rel="noreferrer noopener">State Taxation Further Amendment Bill 2025</a>&nbsp;(the Bill) which is&nbsp;a wide-ranging legislative package that amends several key Acts affecting property, land tax, congestion levies, building permits, and more.</h2>



<h4 class="wp-block-heading">Key legislative changes</h4>



<h5 class="wp-block-heading"><mark style="background-color:rgba(0, 0, 0, 0);color:#203062" class="has-inline-color">Commercial and Industrial Property Tax Reform Act 2024</mark></h5>



<p>The Bill makes targeted amendments to the <em>Commercial and Industrial Property Tax Reform Act 2024</em> (CIPT Reform Act) to address technical anomalies and ensure the scheme operates as intended.</p>



<p>The key change is a tightening of the criteria for when a transaction causes land to enter the commercial and industrial property tax scheme. Under the new rules, a transaction will fall within the CIPT regime only if duty is payable on at least 50% of the land’s unencumbered value. This closes loopholes where nominal or minimal duty could previously result in land entering the scheme, such as in certain partitions or concessional transfers.</p>



<p>The Bill also clarifies the calculation of ‘entry interests’ and ‘qualifying transactions’, ensuring that only the portion of the interest on which duty was actually paid is counted for tax reform purposes. Transitional provisions ensure these amendments apply retrospectively from 1 July 2024, aligning the law with its intended operation from the commencement of the CIPT scheme.</p>



<h5 class="wp-block-heading"><mark style="background-color:rgba(0, 0, 0, 0);color:#203062" class="has-inline-color">Congestion Levy Act 2005</mark></h5>



<p>The State Taxation Further Amendment Bill 2025 introduces several important changes to the <em>Congestion Levy Act</em>.</p>



<p>Most notably, parking spaces used exclusively for residential purposes—including those in hotels, serviced apartments, and clubs providing accommodation, are now excluded from the congestion levy. This simplifies compliance for residential property owners and removes the need for a separate exemption provision.</p>



<p>The Bill also increases the congestion levy rates for 2026, setting them at $3,030 for category 1 levy areas and $2,150 for category 2 levy areas, with annual CPI adjustments from 2027 onwards. Additionally, the category 2 levy area is expanded, and the map of levy areas will now be published online by the Commissioner of State Revenue, improving transparency and accessibility for affected businesses.</p>



<p>The new rules introduce exemptions and concessions:</p>



<ul class="wp-block-list">
<li>Parking spaces at government schools and boarding premises are exempt from the levy if provided free of charge.</li>



<li>Parking spaces set aside exclusively for retail customer parking in the category 2 area receive a 50% concession if provided free for the first hour or to customers making a purchase.</li>
</ul>



<p>Finally, the Bill imposes new registration requirements for owners and operators of car parks in the expanded levy area, with clear deadlines for registration to ensure proper administration and compliance.</p>



<h5 class="wp-block-heading"><mark style="background-color:rgba(0, 0, 0, 0);color:#203062" class="has-inline-color">Duties Act 2000</mark></h5>



<p><strong>New Zealand citizens</strong></p>



<p>A key amendment relates to New Zealand citizens and the foreign purchaser additional duty. Previously, the exemption for New Zealand citizens was based on holding a ‘special category visa’, which could lead to inconsistent outcomes depending on whether the individual was physically present in Australia at the time of settlement.</p>



<p>The Bill replaces this with a new residency test. The provisions outline that New Zealand citizens will only be exempt from the foreign purchaser duty if they ordinarily reside in Australia for at least six months within a defined period around the transaction. This change ensures that the exemption is available to genuine residents and closes a loophole that allowed non-residents to avoid the surcharge.</p>



<p><strong>Custodian transfers</strong></p>



<p>The Bill also introduces a new exemption for transfers of dutiable property involving custodians and sub-custodians under a trust. This addresses practical issues in trust administration, where property may need to be transferred between different custodians or trustees without any change in beneficial ownership. The exemption applies only to ‘internal’ transfers within a pre-existing and continuing trust, and not to transfers that alter the beneficial interests.</p>



<p><strong>Tax reform scheme land</strong></p>



<p>Further amendments to the <em>Duties Act</em> clarify the treatment of ‘entry interests’ for land entering the CIPT reform scheme. The Bill sets out new rules for calculating the quantum of an entry interest when a transaction is subject to a duty exemption or concession (other than certain reductions), ensuring that only the portion of the interest on which duty was actually paid is counted. This prevents anomalous outcomes where nominal duty could result in a larger interest being recognised for tax reform purposes.</p>



<h5 class="wp-block-heading"><mark style="background-color:rgba(0, 0, 0, 0);color:#203062" class="has-inline-color">Land Tax Act 2005</mark></h5>



<p>The Bill introduces several significant changes to the <em>Land Tax Act 2005</em>, with a focus on integrity and fairness of Victoria’s land tax regime.</p>



<p>The Bill substitutes the definition of a ‘natural person absentee’ to introduce a new requirement that a person who is not an Australian citizen or resident will be an absentee if they were absent from Australia for a total of 6 months during the previous calendar year.</p>



<p><strong>New Zealand citizens</strong></p>



<p>One of the most notable amendments is the introduction of a residency test for New Zealand citizens in relation to the absentee owner surcharge. Previously, New Zealand citizens could avoid the surcharge simply by being present in Australia on 31 December, regardless of their actual residency status. The Bill now requires that only New Zealand citizens who ordinarily reside in Australia will be exempt from the absentee owner surcharge, closing a loophole and ensuring that the surcharge applies more equitably.</p>



<p><strong>Temporary residences</strong></p>



<p>The Bill also creates a new exemption for land with temporary residences with the introduction of new sections 63A to 63H. This exemption is designed to support individuals who use temporary residences as their principal place of residence. Under the new legislation, a temporary residence is defined as any structure or vehicle that is capable of being used for habitation and for which an occupancy permit is not required. The Bill outlines that caravans, motorhomes, trailers, tents, sheds, and barns are examples of temporary residences.</p>



<p>The Bill outlines land will be ‘temporary residence land’ if:</p>



<ul class="wp-block-list">
<li>there is a temporary residence on the land</li>



<li>there is no building affixed to the land for which an occupancy permit is required (including a building under construction or renovation)</li>



<li>the land is not used by any person to carry on a substantial business activity</li>



<li>the land is in a zone other than a non-residential zone</li>



<li>the taxable value of the land is less than $300,000</li>



<li>the owner of the land does not own any other land in Victoria.</li>
</ul>



<p>The new provisions apply only if a natural person or vested beneficiary uses and occupies the property as their principal residence, and they preclude the exemption from applying if rent is paid by or on behalf of the vested beneficiary for use and occupation of the land.</p>



<p>This change recognises the diversity of living arrangements in Victoria and provides relief to those who might otherwise be unfairly taxed.</p>



<p><strong>Vacant residential land tax</strong></p>



<p>The Bill makes several targeted changes to the vacant residential land tax (VRLT) provisions.</p>



<p>Firstly, the definition of ‘alpine resort’ is expanded to include land located within the Dinner Plain locality, meaning residential land in Dinner Plain will be excluded from VRLT, recognising its seasonal nature similar to other alpine resorts.</p>



<p>Secondly, the deadline for owners to notify the Commissioner about vacant residential land and to apply for exemptions is moved from 15 January to 15 February each year, giving property owners additional time to comply with their obligations.</p>



<p>Thirdly, a new exemption is introduced for properties that were residential land at both the start and end of the preceding year but were not residential land for a period during that year, such as when a home is undergoing significant renovations or repairs. This ensures owners are not unfairly taxed when their property is temporarily uninhabitable due to genuine works.</p>



<p><strong>Hardship</strong></p>



<p>The hardship relief provisions have also been updated. The threshold for applications for hardship relief from land tax liability has been increased from $1,000 to $5,000, making relief accessible to a broader group of taxpayers. Importantly, the requirement for Treasurer approval has been removed, streamlining the process and allowing the Commissioner of State Revenue to grant relief directly.</p>



<h4 class="wp-block-heading">Other changes</h4>



<p>The Bill also introduces changes to the <em>First Home Owner Grant and Home Buyer Schemes Act 2000</em>, expanding eligibility for New Zealand citizens. Under the new provisions, New Zealand citizens can qualify for the First Home Owner Grant based on residency, rather than visa status, ensuring fairer access for genuine residents. The Bill also modernises administrative processes by clarifying when electronic service of documents is considered effective.</p>



<p>In relation to the <em>Building Act 1993</em>, the Bill clarifies and strengthens the calculation of building permit levies, particularly for cost-plus contracts, and requires more accurate reporting of building costs. It validates past estimates and calculations to prevent disputes and ensure certainty for builders and property owners. Additionally, consequential amendments are made to related Acts to align with the new calculation methods, supporting a more robust and transparent building permit levy system.</p>

<p>The recent Administrative Appeals Tribunal (AAT) case <em><a href="https://austlii.edu.au/cgi-bin/viewdoc/au/cases/cth/AATA/2023/3852.html">Meakins and Commissioner of Taxation [2023] AATA 3852</a> (Meakins)</em>, highlights its significance in the context of tax deductions for holding vacant land in Australia. The key tribunal findings emphasise the importance of several critical factors including assessment of income-generating intent, the lack of substantial activity and implications of inaction. The ruling reinforces that expenses related to vacant land are not typically deductible unless the land is used for income-generating purposes.&nbsp;</p>



<h4 class="wp-block-heading">Background</h4>



<p>The taxpayer purchased vacant land at North Fremantle in 2006. Initially, there was a clear intent to develop this land, transforming it into an income-generating asset.</p>



<p>Despite these initial plans, the development of the property did not proceed but the taxpayer continued to claim deductions for holding costs. The taxpayer attributed this inaction to changing economic circumstances that affected the ability to move forward with the development. As the years passed, these circumstances, combined with other unforeseen challenges, led to the property remaining largely undeveloped and unused.</p>



<p>This lack of tangible development activity raised significant questions from the tax authorities about the legitimacy of the tax deductions claimed for holding the property. The AAT agreed with the Commissioner that the interest expenses were not deductible.</p>



<h4 class="wp-block-heading">Key issues and tribunal findings</h4>



<p>The tribunal&#8217;s decision hinged on several critical factors:</p>



<ul class="wp-block-list">
<li><strong>Assessment of income-generating intent</strong>: A pivotal aspect of the tribunal&#8217;s decision was assessing the taxpayer’s intent for income generation. The tribunal scrutinised the nature of expenses incurred, investigating whether they were legitimately aimed at producing assessable income or were merely veiled as part of a business operation. This scrutiny was crucial, as tax law requires a direct link between the expense and the income-producing activity. This case highlights that taxpayers must demonstrate a clear and direct connection between the expenditure on vacant land and their efforts to generate assessable income, such as active steps towards development or concrete plans for business use.</li>
</ul>

<li><strong>Lack of substantial activity:</strong> The tribunal expressed significant concerns over the absence of meaningful development or use of the property for income generation over 17 years. This prolonged period of inactivity was a key factor in casting doubt on the legitimacy of the claimed deductions. The case underscores the importance of active engagement and development efforts in property investment to substantiate claims for tax deductions. The tribunal&#8217;s focus was not just on the intent to generate income but also on the tangible actions taken towards this objective. This serves as a reminder that mere ownership of property, without substantial and active efforts towards its income-producing use, is insufficient to justify tax deductions for holding expenses.</li>
</ul>

<li><strong>Implications of inaction: </strong>The extended period of inaction raised significant questions about the trust&#8217;s true intent behind holding the land. The tribunal examined the absence of concrete actions towards developing or using the property for income generation, contrasting this with the claim for deductions. This inaction was seen as indicative of a lack of serious commitment to using the property for income-producing purposes.</li>
</ul>



<p>This highlights that in the realm of tax law, intentions must be backed by actions. Taxpayers must be mindful that inactivity or lack of substantial effort in developing or using their property can undermine their claims for tax deductions and invite scrutiny from tax authorities.</p>



<h4 class="wp-block-heading">Implications for taxpayers</h4>



<p>The Meakins case echoes the sentiments expressed in ATO Ruling TR 2023/3, particularly regarding the deductibility of expenses for vacant land. The ruling emphasises that expenses related to vacant land are not typically deductible unless the land is used for income-generating purposes.&nbsp;</p>



<p>Whilst the case addresses an interest deduction claimed before the introduction of Section 26-102, the decision serves as a crucial reminder for taxpayers holding vacant land (where deductions can still be obtained) for the need of a clear demonstration of income-generating intent and activity when claiming deductions on vacant land. Taxpayers must ensure that their investment strategies align with tax laws to avoid disputes and penalties.</p>

<p>Our significant involvement in the industry provides us with&nbsp;an expert level of knowledge across the business, tax and accounting issues that impact the sector.</p>
<p>We take pride in being at the forefront of reforms, whether legislative or administrative, and we are actively involved with key industry&nbsp;bodies.</p>
<p>We have a long and close relationship with the Property Funds Association of Australia,&nbsp;and we are actively involved&nbsp;in various Committees&nbsp;with the Property Council&nbsp;of Australia.</p>
<p>We are also regularly involved in consultative processes, making submissions to Treasury and the ATO.</p>
